    These Terms govern your use of the Live Compliance website and the free tools and resources offered through it. They are not the agreement that governs our paid platform — paying customers are covered by a separate Compliance Services Agreement and, where applicable, a Business Associate Agreement. See "Relationship to Other Agreements" below.

    ACCEPTANCE OF TERMS

    These Terms and Conditions ("Terms") govern your access to and use of the website at livecompliance.com and the free tools and resources we make available through it — including our blog, downloadable guides and checklists, the free compliance self-assessment ("gap scan"), contact and inquiry forms, the certificate-validation lookup, and any chat features (together, the "Site"). The Site is operated by Live Compliance LLC ("Live Compliance", "we", "us", or "our").

    By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Site. If you use the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

    RELATIONSHIP TO OTHER AGREEMENTS

    Live Compliance's platform and contracted services (the "Platform") are provided to customers under a separate written Compliance Services Agreement ("CSA") and, where Live Compliance processes protected health information on a customer's behalf, a Business Associate Agreement ("BAA").

    These Terms apply only to the Site described above. They do not amend, replace, or limit the CSA or the BAA. If anything in these Terms conflicts with a customer's CSA or BAA, the CSA or BAA controls with respect to that customer's use of the Platform and any protected health information.

    INFORMATIONAL PURPOSE — NO LEGAL ADVICE, NO GUARANTEE OF COMPLIANCE

    Content on the Site — including articles, guides, checklists, regulatory summaries, and the results or score generated by our free self-assessment — is provided for general informational purposes only. It is not legal, compliance, regulatory, or professional advice, and it is not a substitute for advice from qualified counsel or a compliance professional familiar with your specific circumstances.

    HIPAA and related regulations change and are applied to specific facts. We make no representation that Site content is current, complete, or applicable to your situation. Using the Site does not create any professional, advisory, or fiduciary relationship, and it does not by itself make your organization HIPAA-compliant or guarantee any audit, enforcement, or regulatory outcome. Any service commitment or guarantee Live Compliance offers (for example, an audit-readiness commitment) applies only as expressly stated in a customer's CSA and is subject to that agreement's terms and conditions.

    DESCRIPTION OF THE SITE

    The Site describes Live Compliance's HIPAA compliance Platform and provides resources for healthcare organizations and their business associates. Descriptions of Platform features on the Site are for general information and marketing, are subject to change, and do not create any warranty or contractual commitment. The Platform's features, service levels, and terms are governed by the CSA.

    ELIGIBILITY AND SITE CREDENTIALS

    The Site is intended for users who are at least 18 years old. Certain free features (such as certificate validation or resource downloads) may ask you to provide information or create limited access credentials. You agree to provide information that is accurate, current, and complete, to keep it updated, and to keep any credentials confidential. You are responsible for activity under your credentials and must notify us promptly of any unauthorized use. Access credentials for the paid Platform are governed by the CSA, not by these Terms.

    PRIVACY

    Your use of the Site is also governed by our Privacy Policy, which explains how we collect, use, and safeguard information submitted through the Site. Please review it.

    ACCEPTABLE USE

    You agree not to use the Site:

    • For any unlawful purpose or to solicit others to act unlawfully
    • To violate any applicable international, federal, state, or local laws, rules, or regulations
    • To infringe or violate our intellectual property rights or those of others
    • To harass, abuse, defame, intimidate, or discriminate against anyone
    • To submit false or misleading information
    • To upload or transmit viruses or any other malicious code
    • To collect or track the personal information of others without authorization
    • To spam, phish, pharm, pretext, spider, crawl, or scrape
    • To interfere with, disable, or circumvent the security features of the Site
    • To submit protected health information or other sensitive personal information through general Site features such as contact forms or chat

    We may investigate and take any action we consider appropriate — including restricting or terminating your access — for any actual or suspected violation of these Terms or applicable law.

    INTELLECTUAL PROPERTY

    The Site and its content — including text, graphics, logos, the "Live Compliance" name and marks, and the design, selection, and arrangement of materials — are owned by Live Compliance or its licensors and are protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for your own internal, informational purposes.

    You may not copy, reproduce, republish, distribute, modify, or create derivative works from Site content, or use our marks, without our prior written permission — except that you may download and share resources we expressly make available for that purpose, in unmodified form and with attribution.

    FEEDBACK

    If you send us questions, comments, suggestions, ideas, or other feedback about the Site or our services ("Feedback"), you grant us a non-exclusive, royalty-free, worldwide, perpetual license to use that Feedback to operate and improve our offerings, without obligation or compensation to you.

    Please do not send us confidential information through the Site, and do not submit protected health information or other sensitive personal information through public or general-purpose Site features (such as contact forms or chat). Those features are not intended for, and should not be used to transmit, such information.

    THIRD-PARTY WEBSITES AND CONTENT

    The Site may contain links to third-party websites and may include articles, graphics, information, applications, or other content originating from third parties. We do not investigate, monitor, or verify such third-party websites or content for accuracy, appropriateness, or completeness, and we are not responsible for them. Links are provided for convenience and do not imply endorsement. Accessing third-party websites or content is at your own risk and subject to their terms.

    SITE MANAGEMENT

    We reserve the right, but not the obligation, to:

    • Monitor the Site for violations of these Terms
    • Take appropriate legal action against anyone who, in our sole discretion, violates the law or these Terms
    • Remove or disable content that is excessive in size or otherwise burdensome to our systems
    • Otherwise manage the Site to protect our rights and property and to facilitate its proper functioning

    COPYRIGHT AND DMCA NOTICES

    We respect the intellectual-property rights of others. If you believe material on the Site infringes a copyright you own or control, please notify us at support@livecompliance.com with: (1) identification of the copyrighted work; (2) identification of the allegedly infringing material and its location on the Site; (3) your contact information; (4) a statement that you have a good-faith belief the use is not authorized; (5) a statement, under penalty of perjury, that the information in your notice is accurate and that you are authorized to act on the owner's behalf; and (6) your physical or electronic signature. We may remove allegedly infringing material and terminate repeat infringers.

    TERM AND TERMINATION

    These Terms apply while you use the Site. Without limiting any other provision, we may, in our sole discretion and without notice or liability, suspend or terminate your access to all or part of the Site — including by blocking certain IP addresses — for any reason, including for breach of these Terms or any applicable law. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.

    MODIFICATIONS AND INTERRUPTIONS TO THE SITE

    We reserve the right to change, modify, or remove the contents of the Site at any time and for any reason at our sole discretion, without notice, and we have no obligation to update any information. We also reserve the right to modify, suspend, or discontinue all or part of the Site at any time without notice, and we will not be liable for any resulting unavailability.

    CHANGES TO THESE TERMS

    We may update these Terms from time to time. When we do, we will revise the "Last updated" date above, and material changes will be effective when posted or as otherwise stated. Your continued use of the Site after changes take effect constitutes acceptance of the updated Terms. Changes to a customer's CSA or BAA are governed by those agreements, not by this section.

    DISCLAIMER OF WARRANTIES

    THE SITE AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ITS CONTENT IS ACCURATE, COMPLETE, OR CURRENT. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

    LIMITATION OF LIABILITY

    TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL LIVE COMPLIANCE LLC, NOR ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SITE, WHETHER BASED IN CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

    TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE AND THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). THIS SECTION GOVERNS ONLY THE SITE; ANY LIABILITY RELATING TO THE PAID PLATFORM IS GOVERNED BY THE CSA. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

    INDEMNIFICATION

    You agree to defend, indemnify, and hold harmless Live Compliance LLC and its affiliates, and their respective officers, directors, agents, and employees, from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Site, your Feedback, your breach of these Terms, or your violation of any law or the rights of a third party.

    YOUR SUBMISSIONS THROUGH THE SITE

    We retain information you submit through the Site (for example, through forms) to operate the Site and respond to you, as described in our Privacy Policy. You are responsible for the accuracy of information you submit and for ensuring you have the right to submit it. As noted above, do not submit protected health information through general Site features.

    Live Compliance's handling of protected health information and customer data within the Platform is governed solely by the applicable CSA and BAA, not by this section.

    ELECTRONIC COMMUNICATIONS

    Visiting the Site, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically — by email or on the Site — satisfy any legal requirement that such communications be in writing.

    GOVERNING LAW

    These Terms and your use of the Site are governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict-of-laws principles. Subject to the Dispute Resolution section below, the state and federal courts located in Maricopa County, Arizona will have exclusive jurisdiction over any matter not subject to arbitration.

    DISPUTE RESOLUTION; ARBITRATION; CLASS WAIVER

    Most concerns can be resolved quickly. Before filing a claim, you agree to first contact us at support@livecompliance.com and give us 30 days to resolve the matter informally.

    Any dispute arising out of or relating to the Site or these Terms that is not resolved informally will be finally resolved by binding arbitration administered by the American Arbitration Association under its applicable rules, seated in Maricopa County, Arizona. Judgment on the award may be entered in any court of competent jurisdiction. To the fullest extent permitted by law, disputes will be conducted only on an individual basis and not as a class, collective, consolidated, or representative action.

    Notwithstanding the above, either party may (1) bring an individual claim in small-claims court, and (2) seek injunctive or other equitable relief in court to protect its intellectual property or confidential information. You may opt out of this arbitration agreement by emailing support@livecompliance.com within 30 days of first accepting these Terms. If the class-action waiver is found unenforceable as to a particular dispute, that dispute will proceed in court rather than in arbitration.

    CALIFORNIA USERS AND RESIDENTS

    If any complaint with us is not satisfactorily resolved, California residents may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834, or by telephone at (800) 952-5210 or (916) 445-1254.

    MISCELLANEOUS

    These Terms, together with the Privacy Policy and any other policies we post on the Site, constitute the entire agreement between you and us regarding the Site and supersede any prior agreements regarding the Site — but they do not supersede the CSA or BAA. If any provision is held unenforceable, it will be limited or severed to the minimum extent necessary so that the remaining provisions remain in full effect. We may assign these Terms, in whole or in part, at any time; you may not assign them without our prior written consent. Our failure to enforce any right or provision is not a waiver of that right or provision. We are not liable for any delay or failure to perform caused by events beyond our reasonable control. We may provide notices to you by posting on the Site or by email. Section headings are for convenience only and do not affect interpretation.
